Ambassador Agreement

This Agreement governs your participation as a Carté Campus Ambassador, operated by Carte Vie Limited (RC 9436336) (“Carté”, “we”, “us”). By applying to and being accepted into the program, you agree to these terms.

2. How the program works

As an Ambassador, you receive a unique referral link/code. You earn commission on sales made through your link, tracked via your Ambassador dashboard.

3. Commission

Your commission rate is worked out separately for each product. For each product, the rate depends on the total units you sell of that product in a calendar month. The current rates are: 1 to 10 units, 5%; 11 to 30 units, 8%; 31 to 50 units, 10%; 51 or more units, 12%. Each product stands on its own: units of one product are never added to units of another. For example, five Radiance Serums and five sunscreens are two separate totals of five, not ten, and the two sunscreens are also counted separately from each other. The rate for a product's monthly total applies to the product value of all your sales of that product that month, not only the units above a threshold. Product value excludes shipping and any taxes, and is measured after any discount the customer received. Sales you make to yourself through your own link count as sales and earn commission in the same way. Carté may change the rates for future months, with notice as set out in this Agreement; a month that has already been paid keeps the rates it was earned at.

4. Tiers and rewards

Each tier also carries a reward (for example a trip, an experience or a coupon) that you unlock when you reach that tier's reward threshold in a calendar month. The tiers, unit thresholds and rewards are as shown on your dashboard from time to time and may be changed by Carté for future months. Rewards are administered separately by Carté.

5. Payouts

We calculate your commission at the end of every calendar month and pay it by bank transfer to the account in your profile on the 3rd of the following month, which gives us time to check the month and correct any errors. There is no minimum payout. What you are paid for a month is the total, across your products, of each product's rate applied to that product's sales, less any adjustments under Section 6. You must keep your bank details correct and in your own name. Carté is not responsible for a payment sent to details you gave incorrectly and cannot pay you until bank details are on your profile.

6. Order & return adjustments

If a customer returns or cancels an order that generated your commission, the corresponding commission is deducted (for a partial refund, commission is kept on the part the customer still paid for; a fully refunded order no longer counts toward your monthly units). If you have already been paid for that month, the amount is deducted from what you earn next. Confirmed fraud (such as coordinating with others to inflate sales for commission or reward purposes, or placing orders you intend to cancel) forfeits all pending and future commissions and rewards, not just the amount tied to the fraudulent order, and Carté may pursue recovery of any amount already paid out that resulted from fraud, in addition to removal from the program.

7. Term & termination

Either you or Carté may end your participation at any time. Carté may suspend or remove an Ambassador immediately for fraud, misrepresentation of products, breach of the Code of Conduct, or bringing the Carté brand into disrepute. Commission already earned on valid, non-returned, non-fraudulent orders as of the termination date will still be paid out in the normal month-end payout.

8. Independent contractor status

Ambassadors are independent participants in a referral program, not employees, agents, or partners of Carté, and have no authority to make representations, promises, discounts, or contracts on Carté's behalf beyond promoting products at the prices shown on the official site. You are responsible for any personal tax obligations arising from your earnings.

9. Trademark & content license

Carté grants you a limited, non-exclusive, revocable license to use Carté-approved logos, product images, and marketing copy solely to promote the program while you are an active Ambassador. This license ends immediately when your participation ends, at which point you must stop using Carté branding and remove it from your social profiles and posts going forward.

10. Indemnification

You agree to indemnify and hold Carté harmless from any claim, loss, or expense (including reasonable legal fees) arising from your own misrepresentation of Carté products, breach of this Agreement or the Code of Conduct, or unlawful conduct while promoting or selling Carté products.

11. Limitation of liability

Carté's total liability to you under this Agreement is limited to unpaid, valid commission and rewards owed to you. Carté is not liable for indirect, incidental, or consequential loss, including lost opportunity or reputational harm. Carté is not liable for payout delays caused by events beyond its reasonable control, including banking system outages, payment-processor failure, or regulatory action.

12. Dispute resolution

If a dispute arises under this Agreement, you agree to first raise it with Carté at support@carteskin.com so it can be resolved informally. If not resolved within 60 days, either party may refer the dispute to arbitration under the Arbitration and Mediation Act 2023, seated in Abuja, before resorting to litigation.

13. Changes to the program

Carté may adjust the commission tiers and rates, reward thresholds, or program rules going forward, with reasonable notice via the Ambassador dashboard or email. Changes apply prospectively, not to sales already made.

14. Severability & entire agreement

If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force. This Agreement, together with the Ambassador Privacy Policy and Code of Conduct, is the entire agreement between you and Carté regarding your participation in the program.

15. Governing law

This Agreement is governed by the laws of the Federal Republic of Nigeria.
